Prieto advised ENGIE Energía Chile on the sale of the mechanized bulk cargo pier “Puerto Andino”, located in the Bay of Mejillones, Antofagasta Region, Chile, to Logística Portuaria Andes SpA, a subsidiary of Puerto Ventanas S.A., for USD 58.9 million.
The transaction was structured through an asset purchase and partial assignment of maritime concessions agreement entered into between ENGIE and a Puerto Ventanas S.A.’s subsidiary, which is subject to the condition precedent that the Ministry of National Defense approve such assignment in accordance with the procedure for the transfer of maritime concessions set forth in Decree No. 9 of 2018 issued by that ministry, among other terms and conditions provided for in the purchase agreement.
Prieto advised ENGIE on the structuring, negotiation and closing of the transaction, which, given its complexity, required a special design to ensure the transferability and operational continuity of the port.
Prieto also advised ENGIE on the voluntary merger notification filed with the Chilean antitrust authority (Fiscalía Nacional Económica) before the closing.
